Your privacy is important to us. In the course of using our websites, software, services, and third-party integrations (collectively, the "Products and Services"), you may provide us with Personally Identifiable Information (as defined below). This privacy policy applies to all of the Products and Services we offer and tells you how we collect, use, disclose and protect your Personally Identifiable Information.

Information We Collect
Information You Provide to Us
We may collect your name, postal address, email address, phone number, username, password, demographic information (such as your occupation), social security number, tax ID numbers, bank account information, as well as other information you directly give us on our Products and Services, which may include marketing, promotions and when communicating to you about new features. We may also collect your billing details such as credit card information, banking information, and billing address.
You may need to enter Personally Identifiable Information in the course of accessing and using our Products and Services. Personally Identifiable Information is captured when a visitor accesses Products and Services, or speaks with a Clerky employee, and willingly discloses that information. This disclosure may occur when a visitor registers with Products and Services, engages in transactions, contacts customer service, or participates in promotions, surveys, forums, content submissions, requests for suggestions, or other aspects of services offered by us.
Personally Identifiable Information includes: (i) "Contact Data" (such as your name, address, city, state, ZIP code, phone number, or email address); (ii) "Financial Data" (such as your credit card number, expiration date, and verification code or bank account information); (iii) "Demographic Data" (such as your ZIP code or IP address).
Communications. In the regular course of our business, we may monitor and record communications between you and our employees for improved support, training, and quality assurance purposes. We may receive confirmation when you open or click on content in an email from us, which helps us provide better support to you and make our communications to you more useful and interesting.
Testimonials and Reviews. We may display personal testimonials of satisfied customers. We will ask for your specific consent before displaying any personal testimonial you write. If you wish to update or delete your testimonial, you can contact us at support@clerky.com. We may also display customer reviews. If you provide a review that we display and wish to update or delete it, you can also contact us at support@clerky.com.
Information We Automatically Collect
Traffic Data. We or our third-party service providers may collect a variety of visitor data such as IP addresses, browser settings, internet service provider (ISP) information, referring/exit pages, operating systems, date/time stamps, and clickstream data (collectively "Visitor Data"). Our internal servers and software automatically recognize Visitor Data. We may use Visitor Data to compile traffic data about the types of visitors who use our Products and Services at specific intervals (collectively "Traffic Data").
We may use Traffic Data to analyze traffic for our Products and Services. We may also use Traffic Data to diagnose problems with our server, administer our Products and Services, or display content according to your preferences. Visitor Data and Traffic Data may also be disclosed to business partners, affiliates, or advertisers on an aggregated and anonymous basis.
Cookies and web beacons. We may use the standard cookie feature of major browser applications and third-party providers, including Google Analytics features, or employ internally developed cookies, clear GIFs, pixel tags, tracking codes, and other technologies that allow us to store a small piece of data on a visitor's computer, or any other device a visitor uses to access our Products and Services, about his or her visit to or use of our Products and Services. You can remove persistent cookies by following directions provided in your Internet browser's "help" directory. Information from Other Sources

How We Use the Information We Collect

Analytics & Advertising
Analytics. We may use third-party web analytics services on the Products and Services, such as those of Google Analytics. These service providers use the sort of technology described in the "Information We Automatically Collect" section above to help us analyze how users use the Products and Services, including by noting the third-party website from which you arrive. The information collected by the technology will be disclosed to or collected directly by these service providers, who use the information to evaluate your use of the Products and Services. We also use Google Analytics for certain purposes related to advertising, as described in the following section. To prevent Google Analytics from using your information for analytics, you may install the Google Analytics Opt-Out Browser Add-on.
Advertising. Our partners and affiliates, including Google Analytics, may use cookies and web beacons to collect information about your activities on this and other websites to provide you targeted advertising based upon your interests. This means that these partners and affiliates may show our ads on sites across the Internet based upon your previous visits to our site. Together with our partners and affiliates, we may use these cookies and web beacons to report how your ad impressions, other uses of ad services, and interactions with these ad impressions and ad services are related to your visits to our site.
The use of tracking technologies by our service providers, technology partners, or other third party assets (such as social media links) on the site is not covered by our Privacy Policy. We do not have access or control over these technologies.

Do Not Track. We do not recognize or respond to browser-initiated Do Not Track signals, as the Internet industry is currently still working on Do Not Track standards, implementations, and solutions.
Data we process on behalf of our customers
We receive information from and on behalf of our customers when they use our Products and Services. Because of the nature of the services, this information may contain Personally Identifiable Information of other individuals. We process such data only in accordance with our customers' instructions. For such data, the customer is the "data controller" (for purposes of GDPR) or the "business" (for purposes of the CCPA) and is responsible for most aspects of the processing of the personal information. If you have any questions or concerns about how your personal information is processed in these cases, including how to exercise your rights as a data subject, please contact the customer. If we receive any rights requests concerning instances where we act as data processor, we will forward your query on to the relevant customer.
We may also collect the information of third-party individuals on behalf of our customers. For example, our customers may use our service to collect counterparty information to populate a document. We primarily use this information for the purpose of administering and improving our Products and Services for our customers. Where the third-party individual chooses to create an Ironclad account with us, however, we will process their information in accordance with this Privacy Policy.
Protection of Your Personally Identifiable Information
We strive to make certain that our servers and connections incorporate the latest encryption and security devices. We have implemented physical, electronic, and managerial procedures to safeguard and secure the information we collect.
Credit and debit card information and Personally Identifiable Information are transmitted by Transport Layer Security (TLS). In the event that we mail you documents, we will send those documents to you via email, the United States Postal Service, or UPS or similar private delivery services.
Unfortunately, no data transmission is guaranteed to be 100% secure and we therefore cannot guarantee the security of information you transmit to or from the Products and Services, or through the use of our Products and Services, and you provide this information at your own risk. Access to your account information requires a username and password. You must keep your password confidential and you should always logout and close your browser when you finish your session.
Data Retention
At minimum, we will retain your information for as long as needed to provide you services, and as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. We may maintain some or all of this data in our archives even after it has been removed from our Products and Services.
Disclosure to Third Parties
We do not sell, transfer, or otherwise share your Personally Identifiable Information to third parties or any data that you store using our services to any third party except as outlined in this privacy policy or with your consent. This does not include trusted third parties we partner with to assist us in operating our Products and Services, conducting and improving our business, or servicing you, in which case we may provide access to your Personally Identifiable Information only for purposes of performing these tasks. Choice/Opt-Out
We will typically send you messages that relate to transactions you conduct on our web site or that have important alerts and notices about your account or our services. You cannot opt out of these communications. Additionally, we may send you other communications such as (i) notices about your use of our services, including notices regarding violations of our terms of service, (ii) updates to our web site and services and (iii) promotional information regarding our services. You can opt out of receiving promotional emails by following the opt-out instructions provided in those emails or by contacting us at support@clerky.com with your specific request.

Children's Privacy
The Products and Services are not directed to children under the age of 13. We do not knowingly collect personal information (as that term is defined in the Children's Online Privacy Protection Act (COPPA)) from children under 13. If we discover that an individual under 13 has provided us with personal information, we will delete the personal information to the extent required by COPPA.
We do not knowingly process data of EU residents under the age of 16 without parental consent. If we become aware that we have collected data from an EU resident under the age of 16 without parental consent, we will take reasonable steps to delete it as soon as possible.

EEA, Switzerland, and UK Individuals
Legal Bases for Use of Your Information. Our legal grounds for processing your information are as follows:
- To honor our contractual commitments to you: Much of our processing of personal data is to meet our contractual obligations to our users, or to take steps at users' requests in anticipation of entering into a contract with them. For example, we handle personal data on this basis to allow you to sign up for our Products and Services.
- Consent: Where required by law, and in some other cases, we handle personal data on the basis of your implied or express consent.
- Legitimate interests: In many cases, we handle personal data on the ground that it furthers our legitimate interests in commercial activities in ways that are not overridden by the interests or fundamental rights and freedoms of the affected individuals. In instances where we process Personally Identifiable Information on behalf of our customer, rights requests should be directed to the relevant customer. Any request sent directly to us that pertains to information collected on behalf of a customer will be forwarded on to that customer.
International Data Transfers. Information submitted to us will be transferred to, processed, and stored in the United States. If you post or transfer any information to or through the Online Services, you are agreeing to such information, including Personally Identifiable Information, being hosted and accessed in the United States. Please note that the privacy laws of the United States may be different from those in the place where you are a resident.
Where required, we will use appropriate safeguards for transferring data outside of the EEA, Switzerland, and the UK. This includes signing Standard Contractual Clauses that govern the transfers of such data, which may be used in conjunction with additional safeguards.
